These Terms of Service ("Terms") govern your access to and use of RoutePlex's website, APIs, and services (the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using our Services, you agree to these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

RoutePlex provides an API gateway that routes requests to various AI language models. Our Services include:

  • Chat API: Access to multiple AI models through a unified endpoint
  • Automatic Routing: Intelligent model selection based on your preferences
  • Usage Dashboard: Monitoring and analytics for your API usage

3. Account Registration

To use our Services, you must:

  • Create an account with accurate information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access
  • Be at least 18 years old or the age of majority in your jurisdiction

You are responsible for all activities that occur under your account.

4. API Keys and Security

  • API keys are confidential and should be kept secure
  • Do not share API keys or embed them in client-side code
  • Rotate keys immediately if you suspect compromise
  • We may revoke keys that are compromised or abused

5. Acceptable Use

You agree NOT to use the Services to:

  • Violate any laws or regulations
  • Generate illegal, harmful, or abusive content
  • Harass, threaten, or harm others
  • Infringe on intellectual property rights
  • Distribute malware or spam
  • Attempt to bypass rate limits or security measures
  • Resell access without authorization
  • Use automated tools to scrape or stress-test the Services
  • Generate content that sexualizes minors

We reserve the right to suspend or terminate accounts that violate these terms.

6. Content and Output

  • Your Content: You retain ownership of content you submit to the Services
  • Model Outputs: Outputs generated by AI models are provided "as is"
  • No Guarantee: We do not guarantee the accuracy, completeness, or appropriateness of model outputs
  • Your Responsibility: You are responsible for reviewing and validating outputs before use

7. Pricing and Payment

Billing

  • Usage-based pricing is calculated per token processed
  • Costs are tracked in real-time and displayed in your dashboard
  • Invoices are generated monthly and due within 30 days

Payment Terms

  • Valid payment method required for paid usage
  • We use Stripe for payment processing
  • Failed payments may result in service suspension
  • No refunds for consumed API usage

Price Changes

We may change prices with 30 days notice. Continued use after the effective date constitutes acceptance.

8. Rate Limits and Quotas

  • Rate limits apply to all accounts
  • Exceeding limits may result in request throttling
  • Enterprise plans available for higher limits
  • Daily budget limits can be configured in settings

9. Service Level

Availability

We target 99.9% uptime but do not guarantee it. The Services are provided "as is" without warranty of any kind.

Maintenance

We may perform maintenance that temporarily affects availability. We will provide notice when possible.

Third-Party Dependencies

Our Services depend on third-party AI providers. We are not responsible for their availability or performance.

10. Intellectual Property

  • Our Property: The Services, including software, designs, and documentation, are owned by RoutePlex
  • Your License: We grant you a limited, non-exclusive license to use the Services
  • Feedback: Any feedback you provide may be used by us without obligation

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
  • OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS
  • WE ARE NOT LIABLE FOR THIRD-PARTY AI MODEL OUTPUTS OR DECISIONS MADE BASED ON THEM

12. Indemnification

You agree to indemnify and hold harmless RoutePlex and its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights

13. Termination

By You

You may close your account at any time through the dashboard or by contacting support.

By Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Fail to pay amounts due
  • Engage in fraudulent activity
  • Pose a security risk

Effect of Termination

Upon termination:

  • Your right to use the Services ends immediately
  • We may delete your data after 30 days
  • Sections that should survive termination will remain in effect

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or dashboard notification. Continued use after changes take effect constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes will be resolved in the courts of San Francisco County, California.

16. General

  • Entire Agreement: These Terms constitute the entire agreement between you and RoutePlex
  • Severability: If any provision is found unenforceable, the remaining provisions continue in effect
  • No Waiver: Failure to enforce a right does not waive that right
  • Assignment: You may not assign these Terms without our consent
